Service.

By accessing or using mansamarkets.com or any related services, applications, or APIs (collectively, the "Service"), you agree to be legally bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

These Terms constitute a legally binding agreement between you and Pulsar Labs. If you do not accept these Terms in full, you must not use the Service.

Mansa Markets provides a web-based terminal and developer API for accessing financial market data from African stock exchanges, including but not limited to equity prices, index values, market capitalisation, trading volumes, foreign exchange rates, and commodity prices (collectively, "Market Data").

The Service includes:

• ◆A publicly accessible web terminal at mansamarkets.com displaying African market data
• ◆The Mansa Brief, a free email newsletter containing African market intelligence
• ◆The Mansa Markets Developer API, available under separate API-specific terms incorporated herein
• ◆Supporting pages, blog content, and documentation

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice, and we will not be liable to you or any third party for such action.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. The Service is not intended for use by persons in jurisdictions where such use would be contrary to applicable law or regulation.

You are responsible for ensuring that your use of the Service complies with all laws and regulations applicable to you, including financial data regulations in your jurisdiction.

4.1 API Accounts

To access the Mansa Markets API, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep it updated.

4.2 Account Security

You are responsible for maintaining the confidentiality of your API keys and account credentials. You must not share your API key publicly or embed it in client-side code. You are responsible for all activity that occurs under your account. Notify us immediately at hello@mansamarkets.com if you suspect unauthorised use.

4.3 One Account Per Person

Each person may register only one free account. Creating multiple accounts to circumvent rate limits or free tier restrictions is prohibited and will result in all associated accounts being suspended.

5.1 API Licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Mansa Markets API solely for your internal business purposes or personal projects, in accordance with the documentation we provide.

5.2 Rate Limits

Your API usage is subject to rate limits corresponding to your subscription tier (Standard, Professional, or Institutional). We reserve the right to throttle or suspend access to accounts that exceed their limits or use the API in a manner inconsistent with its intended purpose.

5.3 Prohibited API Uses

You may not use the API to:

• ◆Build a competing market data product that resells Mansa Markets data without a data redistribution licence
• ◆Scrape, mirror, or bulk download the entirety of our data for offline redistribution
• ◆Circumvent rate limits through rotating API keys, proxies, or multiple accounts
• ◆Use the data in any automated trading system for high-frequency trading purposes
• ◆Provide real-time data feeds to third parties without our written consent

5.4 Data Attribution

Where you display Mansa Markets data in a product or publication, you must attribute the data to "Mansa Markets" with a link to mansamarkets.com where technically feasible.

You agree not to use the Service to:

• ◆Violate any applicable law, regulation, or third-party rights
• ◆Transmit any material that is defamatory, fraudulent, obscene, or harmful
• ◆Attempt to gain unauthorised access to any part of the Service or related systems
• ◆Interfere with or disrupt the Service, servers, or networks connected to the Service
• ◆Use automated tools (bots, scrapers, crawlers) to access the web terminal beyond what is expressly permitted for API users
• ◆Reverse engineer, decompile, or disassemble any part of the Service
• ◆Use the Service to transmit spam or other unsolicited communications
• ◆Misrepresent your identity or affiliation with any person or organisation
• ◆Use the Service in any manner that could impair, overburden, or compromise the integrity of our infrastructure

7.1 Our Rights

All content on the Service — including but not limited to the Mansa Markets brand, logo, design, website code, data infrastructure, compilation of data, API, documentation, and written content — is the proprietary property of Pulsar Labs and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

7.2 Underlying Exchange Data

Raw financial data sourced from stock exchanges remains the intellectual property of those exchanges. Mansa Markets licences this data for the purpose of providing the Service. Your right to use Market Data through the Service does not grant you any licence to the underlying exchange data beyond what is necessary for your permitted use.

7.3 Your Content

You retain ownership of any content you provide to us (such as in communications). By providing such content, you grant us a non-exclusive, royalty-free licence to use it for the purpose of operating and improving the Service.

Market Data Accuracy. While we make reasonable efforts to ensure the accuracy and timeliness of Market Data, we do not warrant that any data provided through the Service is accurate, complete, reliable, current, or error-free. Market data is provided "as is" and "as available".

Data is sourced from stock exchanges and third-party providers and is subject to exchange delays (typically up to 30 minutes), data provider errors, connectivity issues, and other factors outside our control. We accept no liability for errors or omissions in Market Data.

Not a Financial Service. Mansa Markets is a data and information service. We are not a licensed broker-dealer, registered investment adviser, financial planner, or any other form of regulated financial service provider under the laws of any jurisdiction. We do not hold any financial services licences.

Nothing on Mansa Markets constitutes financial advice, investment advice, trading advice, or any other form of advice. All Market Data, commentary, analysis, and content on the Service is provided for informational and educational purposes only.

You should not rely on the Service as the basis for any investment decision. You should conduct your own due diligence and seek independent advice from a qualified financial adviser before making any investment. Past performance of any security, index, or asset class is not indicative of future results.

We expressly disclaim any liability for investment decisions made based on information obtained from the Service.

10.1 Free Tier

Access to the Mansa Markets web terminal and Standard API tier is free. We reserve the right to modify free tier limits at any time with reasonable notice.

10.2 Paid Plans

Paid API plans (Professional, Institutional) are billed on a monthly or annual basis as stated at the time of purchase. All fees are in US Dollars unless otherwise stated. Fees are non-refundable except as required by applicable law or as expressly stated at the time of purchase.

10.3 Payment Processing

Payments are processed by our third-party payment provider. You agree to their terms of service for payment processing. We do not store your payment card details.

10.4 Failed Payments

If a payment fails, your account will be downgraded to the free tier. We will notify you by email. You may upgrade again at any time by providing valid payment details.

10.5 Changes to Pricing

We reserve the right to change pricing at any time. For existing paid subscribers, price changes will take effect at the next renewal period with 30 days' notice.

11.1 Termination by You

You may stop using the Service at any time. To delete your account and associated data, contact us at hello@mansamarkets.com.

11.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately.

11.3 Effect of Termination

Sections 7 (Intellectual Property), 8 (Financial Data Disclaimer), 9 (No Investment Advice), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 15 (Governing Law) survive any termination of these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DATA PROVIDED THROUGH THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PULSAR LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR INVESTMENT LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES — IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Pulsar Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) your violation of any third-party rights; or (d) any investment decisions you make based on data from the Service.

These Terms and any disputes arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

If you are a consumer in the EU or UK, you may also benefit from mandatory protective provisions of the law of your country of residence.

16.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at hello@mansamarkets.com to attempt informal resolution. We will make good-faith efforts to resolve disputes within 30 days.

16.2 Jurisdiction

If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in this clause prevents either party from seeking interim injunctive relief in any competent court.

16.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute will be conducted only on an individual basis and not as a class, consolidated, or representative action.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the revised Terms on this page with an updated "Last Updated" date, and where appropriate, by email notification to registered users.

Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

Entire Agreement. These Terms, together with our Privacy Policy and any supplemental terms applicable to specific features, constitute the entire agreement between you and us regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

Assignment. You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely, including in connection with a merger or acquisition.

Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, internet outages, exchange outages, or government actions.
